Terms and Conditions

These Terms and Conditions govern the use of Scrutare, a software-as-a-service solution for private equity firms and their due diligence processes.

1. Scope

These Terms apply to all contracts between MProfi AG and its customers regarding the use of Scrutare. Differing terms of the customer are not recognized unless MProfi AG expressly agrees to their applicability in writing.

2. Conclusion of Contract

The contract is concluded through registration and the customer's acceptance of these Terms. The 14-day trial period allows for a non-binding evaluation of the platform.

3. Description of Services

Scrutare provides features for due diligence management, document management, team collaboration and reporting. The exact scope of services depends on the selected plan.

4. Customer Obligations

The customer undertakes to keep their access credentials confidential, to use the platform lawfully and to comply with all applicable laws, in particular data protection law.

5. Prices and Plans

Current prices are available on the website. All prices are exclusive of value added tax. Price changes are announced at least 30 days in advance.

6. Payment

Payment is made by credit card or SEPA direct debit. In the event of late payment, MProfi AG reserves the right to suspend access to the platform.

7. Data Protection

The processing of personal data is carried out in accordance with our Privacy Policy and in compliance with the Swiss Federal Act on Data Protection (FADP) and the GDPR.

8. Intellectual Property

All rights to the platform, including software, designs and content, remain with MProfi AG. The customer is granted a non-exclusive right of use.

9. Liability

MProfi AG is liable only for intent and gross negligence. Liability for slight negligence is excluded to the extent permitted by law. Liability for indirect damages is excluded.

10. Termination

The contract may be terminated by either party with 30 days' notice to the end of the billing period. The right to extraordinary termination for good cause remains unaffected.

11. Final Provisions

Swiss law applies. The place of jurisdiction is Zurich. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
